SEC Won’t Take Action Against MegPrime Payments and Rewards Token

The Division of Corporation Finance responded on January 15, 2026 with a no-action letter for MegPrime. The SEC staff would not recommend enforcement if the company offered its payments and rewards token without registration under the conditions described. The response was neither a Commission approval nor a general exemption for utility tokens.

What MegPrime asked for

The company presented a program in which the token would be used for payments, discounts and consumer rewards within its ecosystem. It requested confirmation that the staff would not recommend action for failure to register under section 5 of the Securities Act or for failure to register a class under section 12(g) of the Exchange Act.

The response was based on facts and representations of counsel. The token would not grant shares, dividends, profit sharing, corporate governance or rights to MegPrime assets. Its marketing would be oriented towards use, not promises of appreciation derived from the company’s work.

Those features reduced the elements of an investment contract under Howey. But the name “reward” or “utility” does not decide by itself. If practice, marketing or distribution differ from the record, the conclusion may no longer apply.

What does a no-action letter mean?

A letter expresses that a division will not recommend to the Commission to initiate enforcement in a specific case. It does not bind courts, state regulators or individuals. Nor is it a license to operate other financial or money transmission services.

Staff often make it clear that they do not necessarily share all of the applicant’s legal analysis. Trust the accuracy of the facts presented. If there are material omissions or the model changes, the company cannot assume that it retains the relief.

Other projects cannot copy a phrase and be automatically accepted either. They must compare rights, financing, price, liquidity, control, rewards and promotion. Small differences in appearance can alter the reasonable expectation of benefit.

Payments, rewards and profit expectations

A loyalty program can have transferable value without necessarily being an investment. It matters whether the user acquires the token to consume goods or if they contribute capital waiting for a promoter to increase its price. The limits of transferability and the immediate availability of uses help show function.

Promising future listing, buybacks or profitability would change the analysis. It can also make you sell large quantities before there is a profit or allocate funds to build the business. The marketing team must follow the same conditions as the legal documents.

The rewards also raise taxation, consumer protection and privacy. Receiving tokens may produce tax consequences depending on value and use. Expiration, blocking and changes in conditions must be communicated. The absence of movable value does not eliminate these obligations.

Controls to preserve range

MegPrime needed to control broadcasting, communications and uses to maintain consistency with what was presented. Changing the offer, rights or secondary market required new analysis. The council was required to review campaigns and agreements with third parties before launching.

Records are important. The company must maintain versions of terms, materials, and distribution metrics. If the regulator challenges the structure, demonstrating that the practice matched the representations will be as relevant as the letter.

Outlook from 2026

The SEC’s March 2026 interpretation developed a broader taxonomy of digital tools and investment contracts. That document provides context, but does not make MegPrime’s letter a universal rule. The analysis still depends on rights and transaction.

Since August, the practical precedent has been useful for designing consumption programs without confusing them with recruitment. The lesson is not to add profit after a speculative sale, but to align product, distribution and communication from the beginning.
